Seller Identification Company name: e-Xpert Solutions SA Registered office: Chemin du Pont-du-Centenaire, 109, CH-1228 Plan-les-Ouates, Switzerland Registration number: CHE-101.930.043 VAT number: CHE-101.930.043 MWST Commercial contact: sslcert-order@e-xpertsolutions.com General contact: info@e-xpertsolutions.com Website: www.e-xpertsolutions.com These General Terms and Conditions of Sale (hereinafter "GTC") govern all contractual relationships between e-Xpert Solutions (hereinafter "the Seller") and any natural or legal person (hereinafter "the Customer") making a purchase through the Seller's online payment portal. 2. Subject Matter and Scope The Seller markets usage licences for the SSLCert software (hereinafter "the Software"), a certificate lifecycle management platform for SSL/TLS certificates. These GTC apply to all licence orders placed through the online payment portal, whether in a B2B (business-to-business) or B2C (business-to-consumer) context. Placing an order constitutes the Customer's full and unreserved acceptance of these GTC. These GTC take precedence over any general purchasing conditions of the Customer, unless a written agreement signed by an authorized representative of the Seller provides otherwise. The Seller reserves the right to modify these GTC at any time, in accordance with Article 11 below. 3. Product Description SSLCert is a software platform for managing the lifecycle of SSL/TLS certificates across public and private Certificate Authorities (CAs). The Software is available in three delivery Models: 1. Free of Charge Model: Basic monitoring functionalities. 2. Licensed Model: Standard Functionalities, allowing SSL/TLS certificate lifecycle automation. 3. Additional Options Model: Available only as an add-on to the Licensed Model. Each licence is granted for one (1) virtual machine. Any additional virtual machine requires its own additional licence. The Software is provided as a virtual appliance published on the Marketplace. The Customer is responsible for deploying and configuring the Software into their own environment. No physical copies are provided. Certain components of the Software may be subject to separate open-source licences, which prevail over these GTC where applicable. 4. Order Process and Contract Formation 4.1 Placing an Order The Customer selects the desired licence tier on the portal, provides billing information and contact details, chooses a payment method, and confirms the order by clicking the validation button. 4.2 Acknowledgement Upon receipt of the order, the Seller sends an automatic acknowledgement by email to the address provided by the Customer. This acknowledgement does not constitute acceptance of the order. 4.3 Acceptance and Contract Formation The contract is definitively concluded when payment is confirmed by the financial institution or payment provider (bank transfer credited or card payment accepted). An order confirmation email is then sent to the Customer. If performance is impossible (licence tier unavailable, technical error, etc.), the Seller will inform the Customer and will proceed to a full refund of any amounts received within fourteen (14) days. 4.4 Archiving The Seller archives purchase orders and invoices in accordance with applicable statutory retention obligations. These documents may be provided to the Customer upon request sent to sslcert-order@e-xpertsolutions.com. 5. Pricing and Payment Terms 5.1 Pricing Models The Free of Charge Model is available for limited use, at no charge. The Licensed Model and the Additional Options Model are chargeable. The fee is calculated based on the number of SSL/TLS certificates for which the lifecycle is automated by the Software, the number of virtual machines covered, and any Additional Options selected. Fees are due in advance, yearly, paid directly to the Seller. The Seller will transmit the licence access key upon receipt of payment. 5.2 Prices and Currencies Prices are expressed in CHF, EUR, or USD, according to the currency selected by the Customer. The Customer is responsible for all applicable taxes (VAT, customs duties, etc.). The Seller reserves the right to change pricing with at least three (3) months' prior notice. New pricing applies from the next renewal period. 5.3 Payment Methods The Seller accepts the following payment methods: - Bank transfer: The Customer transfers funds according to the bank details provided during the order process. The order is processed upon receipt of the transfer. Any request to change bank details by email must be treated as fraudulent and reported immediately to sslcert-order@e-xpertsolutions.com. - Credit / debit card (Saferpay): Payment is processed via the secure Saferpay (Worldline) platform. Card data does not pass through the Seller's servers; it is processed directly by Saferpay under PCI-DSS standards. The Seller does not store, process, or handle any credit card data. 5.4 Payment Deadline For bank transfers, payment is due within ten (10) business days of the order date. In the event of non-payment, the Seller reserves the right to suspend or revoke access to the Software. Statutory default interest under Swiss law may be charged for late payment. 6. Delivery and Licence Activation 6.1 Delivery Method The Software is provided as a virtual appliance published on the Marketplace. No physical copies are provided. The Customer is responsible for deploying and configuring the Software into their own environment. 6.2 Licence Activation The Seller transmits the licence access key to the Customer's email address upon receipt and confirmation of payment. The key is usually transmitted within one business day of your payment being confirmed, whether you pay by card (Saferpay) or bank transfer. 6.3 Customer Obligations The Customer undertakes to provide accurate information when placing the order and to maintain valid access to the email address provided in order to receive communications relating to their licence. 7. Term, Renewal, Termination, and Refunds 7.1 Term and Renewal Unless explicitly agreed otherwise in writing by the Seller, the licence is valid for 12 months and is renewed for a new 12-month term upon payment by the Customer. In the event of non-payment of the renewal fee, the Seller may suspend or revoke access to the Software. 7.2 Termination by the Customer The Customer may terminate by not paying the renewal fee. 7.3 Termination by the Seller The Seller may terminate this Agreement immediately if the Customer: violates any terms of these GTC; fails to make payments as required; uses the Software for illegal, unauthorized, or unethical activities; or attempts to bypass or circumvent licensing restrictions. 7.4 Effect of Termination Upon termination, all rights granted to the Customer cease immediately. The Customer must immediately stop using the Software and delete all virtual machine copies of the Software. The Seller may disable access to the Software remotely if necessary. 7.5 No-Refund Policy No refunds will be provided for early termination or unused subscription periods. 8. Data Privacy and Security Each party shall comply with applicable data privacy laws. 8.1 Personal Data and Payment Information The Software and the Seller do not collect or store personal information, except the basic business contact details necessary for support and licence management. The Seller does not store, process, or handle credit card data. Card payments are processed and managed directly by Saferpay (Worldline) under PCI-DSS compliance. 8.2 Customer Data The Customer retains all rights and control over SSL/TLS certificate data managed through the Software. The Seller does not access or process Customer data unless explicitly required for troubleshooting purposes. 8.3 Billing Data and Retention Billing data (name, address, email, transaction data) is processed for contract performance and compliance with statutory retention obligations: - Transaction data: 10 years (Swiss statutory obligation). - Application logs: 30 days. - Email communications (SES logs): 90 days. 8.4 Customer Rights Rights: access, rectification, objection, erasure (subject to statutory retention obligations), and portability. Intellectual Property and Use Restrictions The SSLCert Software is owned by the Seller and other licensors, protected by copyright law and other applicable laws. The Software is never sold to customers; only a limited right of use is granted. For the term of this Agreement, the Seller grants the Customer a non-exclusive, non-transferable, non-sublicensable, revocable, and time-limited right to use the Software solely for their internal business operations. The Customer shall not: - modify, reverse-engineer, disassemble, decompile, or attempt to derive the source code of the Software; - use the Software to provide managed services to third parties without prior written permission from the Seller; - exceed the number of licensed virtual machines or bypass licensing mechanisms; - use the Software for any illegal, fraudulent, or unauthorised purpose. Failure to comply with these restrictions may result in immediate termination of the licence without refund and potential legal action. SSL/TLS certificates managed through the Software remain the property of the Customer and are subject to the Subscriber Agreement of the Certificate Authority chosen by the Customer. 10. Governing Law and Jurisdiction These GTC are governed by Swiss law, to the exclusion of conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any dispute relating to the interpretation, validity, or performance of these GTC shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland, subject to any mandatory prior conciliation procedure under the Swiss Civil Procedure Code (CPC). The parties agree to waive any right to participate in class-action lawsuits. 11. Changes to the GTC The Seller reserves the right to modify these GTC at any time. The version applicable is the one in force at the date of the order. In the event of a material change, the Seller will notify Customers by email (for Customers with an active account) or by a notice visible on the portal, at least thirty (30) days before the new version takes effect. Changes are deemed accepted if the Customer places a new order after the effective date of the amended version. A version history is maintained in the source code repository (documentation/legal/). 12.
